As the growth in the use of representations and warranties insurance (“RWI”) in M&A activity has led to an increasing number of claims, insurers require counsel who can understand the nuances of the M&A transactions at issue and related coverage and valuation issues.

Our RWI team is experienced in advising insurers at each stage of a claim and in litigating or arbitrating coverage disputes when necessary. Our team has advised clients on a full range of RWI claims, including allegedly misstated financial statements, undisclosed liabilities, allegedly defective equipment, and compliance with laws and material contracts. We have significant experience guiding clients through delicate areas such as alleged quantum of loss, working with outside experts when necessary, and have helped our clients amicably resolve, or otherwise litigate complex and high-value RWI claims.
